What you may do with the documents.

What you are buying

natrz sells document templates as digital files. When you download a document from natrz — whether you paid for it or took one of the free ones — you get a limited, non-exclusive, non-transferable license to use it on the terms below.

The license attaches when you download, not when you pay, so the three free documents carry exactly the same license as the ones in the paid kit. There is no separate free-tier license to read.

Purchases are made from Polar Software, Inc., the merchant of record, under Polar’s Buyer Terms. natrz licenses your use of the documents under these Terms. Documents are made available immediately after a successful checkout.

Companies you own or control

You may use the documents for any number of US LLCs you own or control. That means a company where you are the ultimate beneficial owner, directly or through a holding company, or where you are the Manager of a company owned that way.

It is written this way on purpose. These documents are built for holding-company structures, and in one of those the member is often the holding company rather than you. A license limited to companies you personally own would stop covering you at the moment you did the thing the documents are designed for.

What you may do

• Download, save and print the documents for your own use.
• Complete, edit and adapt them for your own companies.
• Sign a completed document and use it as the real agreement, resolution or certificate of your company.
• Give a completed document to anyone who needs it — your bank, your attorney, your accountant, a counterparty, a registered agent, or a government body. This is what the documents are for.

What you may not do

• Resell, license, rent, share, gift or otherwise pass on the documents themselves.
• Publish the reusable templates, or make them available to others for use with companies outside this license.
• Use them as the basis of a competing template product.
• Remove the reference codes, version stamps or ownership notices.
• Claim the drafting as your own.

The line to hold on to

The completed document may go wherever it needs to go. The blank template may not go anywhere.

You may hand a signed Bank Resolution to a bank, an ownership statement to a compliance officer, a certificate to a counterparty. You may not hand any of them, filled in or blank, to another person so that they can use it for their own company.

Companies you do not own or control

The license does not cover companies that are not yours — a client’s, an employer’s, or one you administer for somebody else. If you are an accountant, a formation agent or an adviser and you want to use these documents across companies you do not own, that needs a separate license in writing. Write to hello@natrz.com and ask; we would rather license it than have you guess.

Giving a completed document to your own accountant or attorney to review is not this. That is covered, and it is expected.

What you are not buying

Copyright does not transfer. natrz retains its rights in the original, protectable content of the templates. You receive the limited license described above; ownership of the templates does not transfer.

Buying or downloading a document does not create an attorney-client, accountant-client or agency relationship. natrz is not a law firm, does not practice law, and is not your attorney. It is not a firm of accountants, not enrolled agents, and not tax return preparers. It does not give legal or tax advice and does not act for you before the IRS, a state, or any other authority. The documents are templates for you to take to your own attorney and your own accountant, and nothing on this site is a substitute for either.

Updates and corrections

Your purchase gives you access to the version available for download at checkout and any later version we make available through the same product download, at no additional charge. Each document’s version stamp identifies the text of that document. Downloading a later version does not automatically amend or replace a document you previously completed or signed. Review any revised template before deciding whether to adopt it for your company.

If we identify a material error in a document offered through a purchased product, we will make a corrected version available through the product download and email purchasers of that product to describe the correction. We send these notices whether or not a purchaser opted in to marketing emails.

Links to the free documents serve the current version. We may not be able to identify or notify everyone who downloaded an earlier free version. Unsubscribing stops optional update and marketing emails; we may still send a message about a particular download or material correction where permitted by applicable law.

Optional emails announcing updates — new documents, improvements, rewording — and other news go only to people who opted in to receive them. Whether or not you opted in, updated versions remain available to purchasers through the product download.

If the license is breached

If you use the documents outside this license, the license ends. Use outside the license may constitute breach of contract and, where it infringes protectable rights in the templates, copyright infringement. The available remedies depend on the conduct and applicable law.

If a document is published or shared where other people can reach it, we may submit a copyright takedown notice to the hosting provider where the posting infringes our rights — the platform, the file host, the service. That costs us very little and it usually works, which is why it is the first thing we do rather than a threat left sitting in a document.

Every document carries a reference code and a version stamp on its face. Removing copyright ownership information in connection with infringement may also give rise to a separate claim under 17 U.S.C. § 1202 when its statutory knowledge and intent requirements are met.

We keep every other right and remedy available to us.
