US LLC Kit
Documents for a foreign-owned US LLC — any state, new or existing.
The operating agreement, bank account documents and company records a foreign owner is actually asked for. Wyoming and All-States editions. Usable by US residents too.
Why this exists
Owning a US LLC from outside the US comes with paperwork that formation services rarely mention. There is an IRS information filing that can apply even in a year the company earned nothing. Banks want ownership and business documents before they will open an account, and want them in a form their compliance team recognizes.
natrz sells document templates. We do not form companies, act as your registered agent, or file anything on your behalf, and we do not give legal or tax advice. This is the paperwork you bring to your attorney and your accountant.
More on the situation this is built forThe agreement you were handed, and what a bank asks a foreign-owned company for
Meanwhile the operating agreement you were handed at formation — if you were handed one — was written for a US resident, says nothing about foreign ownership, and in many cases is a two-page template with your name typed into it.
This kit is the document set for that situation. It does not do your filings and it is not a substitute for an accountant. It is the paperwork you bring to them.
What every option contains
The agreement2 documents
Operating AgreementThirteen articles across thirteen pages. Manager-managed, single-member, with charging order, privacy, holding-company transfer, intellectual property and foreign owner provisions. Wyoming edition references the Wyoming LLC Act throughout; the All-States edition sets your formation state in the document.
OA-WY / OA-USWritten Consent of the Sole Memberexisting onlyReplaces your current agreement, appoints the Manager, and ratifies the prior acts identified in the company records. One document, one signing.
WC-US-001Management and fees4 documents
Management Services AgreementDocuments what the Manager does, and that the fee is recorded separately from any distribution. Covers a member-manager or a third party.
MSA-US-001Fee Addendum — three variantsSets the fee for each period without amending the agreement. Payable on demand, monthly accrual, or fixed installments. All three included; use whichever matches how the company actually pays.

Membership Interest CertificateOne page a bank or counterparty can read instead of the whole agreement. Wyoming and All-States editions.
MC-WY / MC-USOpening and keeping a bank account3 documents
Beneficial Ownership and Control StatementThe ownership question every bank asks, answered in the form a compliance officer expects. Direct or holding-company structure, built for an owner with no SSN.
BO-US-001Business and Operations StatementWhat the company actually does — customers, suppliers, countries, expected money movement. The companion to the ownership statement, and the document that answers the underwriter’s real question.
BSS-US-001Bank ResolutionOne page, in the format banks expect, authorizing the account and naming the signer.
BR-US-001Paying yourself1 document
Declaration of DistributionThe written declaration the operating agreement requires before any distribution is paid. One per distribution, numbered, covering cash or in kind.
DD-US-001Keeping records2 documents
Written Resolution of the ManagerOne page for any decision worth recording. The operating agreement makes resolutions optional; this is the form for when you want one — amend to suit, sign, file.
WR-US-001Company Records IndexThe core records the company should hold, in one list — including the ones that come from the state, the IRS and your registered agent, not just this kit. Tick what you hold, note where it is, see what is missing.
CRI-US-001Every document carries a reference page listing each field to complete and what goes in it. Nothing needs a separate instruction sheet. Files are PDF, and you may use them for any number of US LLCs you own or control.
How it works
Pick the option that fits
Your formation state, and whether the company is new or already running on a generic agreement.
Complete the shaded fields
Each document opens with a reference page naming every placeholder and what goes in it.
Review, sign, keep
Have an attorney review before you sign, then file the executed set with your company records.
You can get an operating agreement for free
Free agreements — from formation services, template libraries, state websites — are written for a US owner of a US company. That is the default, and five things follow. Four are about what the agreement says. The fifth is not about drafting at all.
Distributions happen automaticallyMoney moves with no record behind it
A generic agreement distributes profit to the member, or leaves it to the member’s discretion with no mechanism at all. Under this one, profit vests in the company and is released only on a written declaration signed by the Manager. Undeclared profit stays company property. The difference is whether money moves with a dated record behind it.
There is no record-keeping obligationNothing assumes a foreign member
This agreement requires the Manager to keep records of reportable transactions between the company and its foreign member, so the information is assembled as it happens instead of reconstructed a year later. No generic agreement does this, because no generic agreement assumes a foreign member.
There is one way to take money outNo documented basis for a management fee
A free agreement gives you distributions and nothing else. The Management Services Agreement and Fee Addendum give the Manager’s fee a documented basis, recorded separately from distributions, set for each period without amending the main agreement.
The bank documents are not there at allWhere foreign owners get stuck
The ownership statement and the operations statement are what a compliance officer asks for at account opening, built for an owner with no SSN. Free packs contain neither.
And one thing that is not about drafting qualityFree sources do not know each other
A free agreement is a single document. This is a set that refers to itself. The declaration runs off the agreement’s own clauses. The fee addenda run off the services agreement. The consent attaches the agreement as an exhibit. The certificate points back at the transfer restrictions. You cannot assemble that from free sources, because free sources do not know about each other.
A widely used free “annual meeting minutes” form has the members resolve, by motion at a meeting, that net profit be distributed. Under this operating agreement a distribution needs a declaration signed by the Manager — no meeting, no motion, no vote. Using the free form alongside this agreement would paper a distribution in a way the agreement does not recognize. The form is not wrong. It is written for a different company.
Free, before you buy anything
Form 5472, explained
Own a US LLC as a foreign person? You may have an IRS filing for any year with a reportable transaction, even one where the company earned nothing — paying the registered agent yourself can be one. What counts, when it’s due, and how it has to be sent.
Three documents from the kit
The Bank Resolution, the Business and Operations Statement and the Company Records Index — complete files, not extracts. Judge the drafting before you spend anything.
Questions
My LLC already has an operating agreement. Can I switch?
Yes, and it is one document. The Written Consent in the existing-LLC options amends and restates your current agreement, replacing it with this one, and ratifies the prior acts identified in the company records. The company is not dissolved, not reformed, and keeps its EIN and its bank accounts. You end up holding one clean agreement rather than an original plus a patch.
Wyoming or All-States — which do I need?
Whichever state your LLC is formed in. If that is Wyoming, take the Wyoming option: it references the Wyoming LLC Act directly and includes provisions written to that statute. For any other state, the All-States edition sets your formation state in the document and scopes the state-dependent provisions to what that state’s law allows. The two are otherwise the same agreement.
Do I still need an attorney?
We recommend one, and say so on every page of every document. These are templates: they give you a complete, coherent document set to work from rather than a blank page, which is where most of the cost and most of the mistakes are. Have an attorney review before you sign, and speak to an accountant about anything touching tax.
Can I use these for more than one LLC?
Yes — for any number of US LLCs you own or control. You may not resell, give away, redistribute or publish them, or use them as the basis of a competing template product. Full terms are on the terms and license page.
Is this a formation service?
No. natrz does not form companies, act as a registered agent, or file anything on your behalf. You will need a registered agent in your formation state regardless — that is a legal requirement, and your agent handles your state filings. This kit is the document set that formation services generally do not give you.
What do I actually receive?
PDF files, downloaded immediately after payment, each with a reference page listing every field to complete. Editable formats are planned. Documents are versioned and dated, so you can always tell which edition you hold.
Multi-member or member-managed LLCs?
Not yet. Every document here is drafted for a single-member, manager-managed LLC. Multi-member editions of both operating agreements are in preparation.
My Articles say member-managed. Can I still use this?
Resolve the difference first. This agreement provides for manager management, and the filing and the agreement should not contradict each other. Amending the Articles is normally a short state filing, and your registered agent can tell you what was filed and handle the change. Where the Articles are simply silent on management — which is common, and normal in Wyoming — there is usually nothing to resolve. New Mexico is the exception: there the Articles must vest management in a manager, so silent Articles need amending too.
Do I have to file the operating agreement with the state?
No. No state requires the operating agreement to be filed — the Articles of Organization are the public filing and the operating agreement is the private one, held with your company records. A few states (California, New York, Missouri and Maine) require an LLC to have one, and New York requires it in writing within 90 days of formation, but having and filing are different things.
Does an operating agreement give me a visa or the right to work in the US?
No. Owning a US LLC and holding an operating agreement say nothing about immigration status or work authorization, and nothing in this kit affects either. If your plans involve a US visa, that is a question for an immigration attorney and it should be settled independently of your company documents.
